Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you (“Customer,” “you”) and Leadnest.ai (“LeadNest,” “we,” “our,” “us”) governing your access to and use of LeadNest’s services, websites, applications, APIs, and related offerings (collectively, the “Services”). By creating an account, purchasing credits, subscribing to a plan, or using the Services, you agree to these Terms, our Privacy Policy, and our Acceptable Use Policy.

If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.

Eligibility & Account Registration

  • You must be at least 18 years old or the legal age of majority in your jurisdiction.
  • You agree to provide accurate and complete account information and keep it up to date.
  • You are responsible for safeguarding your account credentials and LeadNest Wallet access.

Scope of Services

LeadNest provides an omnichannel engagement platform that enables you to:

  • Send promotional and transactional communications via SMS, MMS, WhatsApp, Email, Push, Web Push, and In-App notifications.

  • Validate emails, build campaigns, manage CRM data (SalesNest), create forms (LeadHub), host meetings (BMeet), and store files (NestVault).
  • Manage usage through a subscription plan or a pay-as-you-go credit wallet.

Your access to specific features is determined by your plan type and usage limits.

Pricing & Billing

You may choose between two billing models:

  • Subscription Plan:A recurring monthly or annual plan with pre-defined usage quotas. Additional usage beyond the quota may be billed at pay-as-you-go rates.
  • Pay-As-You-Go (PAYG):Purchase credits in advance via LeadNest Wallet and consume them as you send messages or use services.

Key Terms:

  • All prices are listed on leadnest.ai/pricing.
  • Fees are non-refundable except where required by law.
  • LeadNest may suspend your account for non-payment or fraudulent activity.

Customer Responsibilities

You agree to:

  • Obtain Consent:Maintain verifiable opt-in records (IP, timestamp) for all contacts you message.
  • Classify Traffic:

    Correctly identify campaigns as transactional (e.g., OTPs, order updates) or promotional (e.g., offers, marketing campaigns).

  • Honor Opt-Outs:Immediately process STOP, DND, or unsubscribe requests for all channels.
  • Comply with Laws:

    Follow CTIA, TCPA, 10DLC, GDPR, DPDPA, HIPAA, CAN-SPAM, CASL, and carrier requirements for all communications.

  • Publish Privacy Policy:Make clear to your end users how you collect, use, and share their data.

Messaging & Content Compliance

  • Required Disclosures:All outbound SMS/MMS/WhatsApp must display your brand, include “Msg & data rates may apply,” and provide opt-out instructions (“Reply STOP to unsubscribe”) leadnest_sms_compliance_changes
  • Help Response:When users reply HELP, you must return a help message with support contact information leadnest_sms_compliance_changes
  • Prohibited Content:No spam, phishing, unlawful content, or SHADE (sex, hate, alcohol, drugs, gambling) traffic leadnest_sms_compliance_changes
  • Recordkeeping:Maintain consent logs and opt-out records to comply with audits and carrier requests.

Data Ownership & Processing

  • You retain ownership of all data you upload.
  • LeadNest processes data only to deliver the Services, as described in our Privacy Policy.
  • For healthcare customers, PHI is processed only under a signed Business Associate Agreement (BAA).

Service Availability & Modifications

  • LeadNest strives for high availability but does not guarantee uninterrupted service.
  • We may add, change, or discontinue features with notice.

Intellectual Property

  • LeadNest owns the platform, software, and trademarks.
  • You are granted a limited, non-exclusive, revocable license to use the Services for lawful business purposes.

Suspension & Termination

We may suspend or terminate your account if you:

  • Breach these Terms or the Acceptable Use Policy.
  • Send unlawful, high-risk, or non-compliant campaigns.
  • Fail to pay fees when due.

After termination, your data may be retained for compliance but your access will cease.

Warranties & Disclaimers

The Services are provided “as is” and “as available.” LeadNest disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law:

  • LeadNest’s total liability is capped at the amount paid in the last 12 months.
  • We are not liable for indirect, incidental, or consequential damages,

Indemnification

You agree to indemnify and hold harmless LeadNest and its affiliates against claims arising from:

  • Your campaign content,
  • Breaches of law or regulation,
  • Misuse of the Services.

Governing Law & Disputes

These Terms are governed by the laws of India. Disputes will be resolved by arbitration in Hyderabad, Telangana, unless prohibited by law.

Updates

We may revise these Terms periodically. Material updates will be communicated via email or in-platform notice. Continued use constitutes acceptance.
